NovaLearn Terms and Conditions
Welcome to NovaLearn! These Terms and Conditions ("Terms") govern your access to and use of the NovaLearn website, mobile applications, and online learning platform (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. These terms are effective as of November 7, 2024.
Account Terms
To access certain features of the Services, you may be required to create an account. When you create an account, you agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. NovaLearn is not liable for any losses incurred due to unauthorized use of your account. You must be at least 18 years old to create an account. If you are under 18, you must have parental consent to use the Services. Furthermore, you agree:
- You are responsible for any activity that occurs through your account and you agree you will not sell, transfer, license or assign your account, username, or any account rights. With the exception of people or businesses that are expressly authorized to create accounts on behalf of their employers or clients, NovaLearn prohibits the creation of and you agree that you will not create an account for anyone other than yourself. You also represent that all information you provide or provided to NovaLearn upon registration and at all other times will be true, accurate, current and complete and you agree to update your information as necessary to maintain its truth and accuracy.
- You agree that you will not solicit, collect or use the login credentials of other NovaLearn users.
- You are responsible for keeping your password secret and secure.
- You must not defame, stalk, bully, abuse, harass, threaten, impersonate or intimidate people or entities and you must not post private or confidential information via the Service, including, without limitation, your or any other person's credit card information, social security or alternate national identity numbers, non-public phone numbers or non-public email addresses.
- You may not use the Service for any illegal or unauthorized purpose. You agree to comply with all laws, rules and regulations (for example, federal, state, local and provincial) applicable to your use of the Service and your Content, including but not limited to, copyright laws.
- You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links and other content or materials (collectively, "Content") that you submit, post or display on or via the Service.
- You must not access NovaLearn's private API by any other means other than the NovaLearn application itself.
NovaLearn reserves the right to suspend or terminate your account if you violate these Terms.
Usage Terms
Your use of the Services is subject to the following terms:
- You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of others.
- You agree not to engage in any activity that disrupts or interferes with the Services or the servers and networks connected to the Services.
- You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without the express written permission of NovaLearn.
- You agree not to attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.
- You agree not to use any automated means, such as robots, spiders, or scrapers, to access or collect data from the Services.
- You agree to respect the intellectual property rights of NovaLearn and other users.
- You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.
- You understand that NovaLearn may modify or discontinue the Services at any time without notice.
NovaLearn may monitor your use of the Services to ensure compliance with these Terms.
Intellectual Property
The Services and all content included on the Services, such as text, graphics, logos, images, audio clips, video clips, and software, are the property of NovaLearn or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any content on the Services without the express written permission of NovaLearn.
Specifically, you acknowledge that:
- All content on NovaLearn's platform, including course materials, videos, and assessments, are copyrighted and may not be reproduced or distributed without prior consent.
- The NovaLearn logo and brand name are trademarks owned by NovaLearn and may not be used without permission.
- Users who upload content to the platform retain ownership of their intellectual property, but grant NovaLearn a license to use and display the content.
- Any unauthorized use of NovaLearn's intellectual property may result in legal action.

Liability Limitations
The Services are provided on an "as is" and "as available" basis. NovaLearn makes no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. NovaLearn does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
To the fullest extent permitted by law, NovaLearn shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, even if NovaLearn has been advised of the possibility of such damages. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses.
Specifically, NovaLearn shall not be liable for:
- Any errors or omissions in course materials.
- The accuracy or completeness of information provided by instructors or other users.
- Technical issues or interruptions that may occur on the platform.
- Any financial losses incurred as a result of using the Services.
Your sole remedy for dissatisfaction with the Services is to stop using the Services. NovaLearn's total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to NovaLearn for the Services in the 12 months preceding the claim.
Changes to Terms and Conditions
NovaLearn reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Services. Your continued use of the Services after the effective date of the modified Terms constitutes your acceptance of the modified Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
